ContraVault PlugIn's End User License Agreement

Note: IF YOU DO NOT AGREE WITH THE TERMS AND CONDITIONS OF THIS EULA OR DO NOT HAVE THE LEGAL CAPACITY OR AUTHORITY TO ENTER INTO THIS AGREEMENT, DO NOT INSTALL OR USE THE SOFTWARE, AND YOU MUST NOT ACCEPT THIS EULA.
Definitions
1.1 Authorized Users
Those employees, agents, and independent contractors of the End User who are permitted by the End User to access and use the Software and the Documentation.
1.2 Confidential Information
Refers to the Software, its source code, Documentation, as well as any proprietary, financial, statistical, business, or technical data disclosed by ContraVault or its affiliates to the End User, or derived by the End User from the Software or related ContraVault business operations.
1.3 Delivery Date
The date on which the Software and/or license keys are made available for download by ContraVault.
1.4 Documentation
All user manuals, operational guides, and other written materials made available by ContraVault regarding the use of the Software.
1.5 End User
The person or entity that obtains a license to the Software.
1.6 Initial License Term
The initial fixed period specified in the Order Form during which the Software is licensed to the End User, as described further in Section 12.1.
1.7 License
The rights granted by ContraVault to the End User to use and access the Software and related Documentation under this EULA, as detailed in Section 3.
1.8 License Fees
The payment due from the End User for the License, payable to the Reseller or directly to ContraVault if purchased directly.
1.9 License Term
Encompasses the Initial License Term and any Subsequent License Terms.
1.10 Maintenance Period
The timeframe during which the End User is eligible to receive Maintenance and Support Services from the Reseller or ContraVault, as applicable, based on the terms of this EULA.
1.11 Maintenance and Support Services
Defined as maintenance and technical support services for the Software, provided by ContraVault or a Reseller, including updates, bug fixes, and enhancements (excluding Upgrades), as scheduled by ContraVault.
Acceptance and Modifications
2.1 Acceptance
By accepting, installing, and/or using the Software, you confirm your acceptance of the Software and agree to be bound by the terms of this EULA, acknowledging that it is enforceable as if it were a signed written contract.
Notes:
- If you are under the age of 18, you may not use the Software or provide your personal information to us without the consent of your parent or guardian.
- If you are entering into this EULA on behalf of a company or other legal entity, you represent that you have the authority to bind that entity and its affiliates to these terms and conditions.
This EULA applies solely to the Software provided by ContraVault, including any Updates, supplements, internet-based services, and support services.
License Grant
To the extent reflected in the Order Form and subject to the terms and conditions of this EULA, ContraVault grants the End User a limited, personal, non-transferable, revocable, non-exclusive license to use, install, and operate the Software on a subscription basis.
General Licensed Rights
4.1 Permitted Use
The End User may use, install, and operate the Software solely in accordance with:
- This EULA
- The Documentation
- The Order Form
4.2 Authorized Users
The number of Authorized Users covered under the License is specified in the Order Form.
4.3 Sublicensing Prohibition
The License does not permit sublicensing, transferring, or assigning rights to third parties unless explicitly stated.
4.4 Reserved Rights
All rights, title, and interest in the Software and Documentation remain solely with ContraVault.
Usage Limitations and Restrictions
5.1 Installation and Use
The Software components may be installed and used for the number of Authorized Users specified in the Order Form.
5.2 Compliance Responsibility
The End User must verify compliance with local laws and obtain necessary permits for use.
5.3 Backup Copies
A single backup copy of the Software may be made solely for backup purposes.
5.4 Prohibited Activities
The End User may not:
- Reverse engineer or extract source code
- Modify, adapt, translate, or create derivative works
- Use the Software for unauthorized third-party training or commercial purposes
Third-Party Software
6.1 End User Responsibility
The operation of the Software may require appropriate hardware and third-party software licenses.
6.2 Integrated Components
Certain third-party software components may be integrated into the Software and are subject to their own licensing terms.
License Fees
7.1 Payment Obligations
The End User must pay all License Fees and related charges as per the terms outlined in the Order Form.
7.2 Subscription License Fees
Fees are payable as specified in the Order Form, with potential adjustments for renewals.
Maintenance and Support Services
8.1 Eligibility
Maintenance and Support Services are provided subject to payment of applicable fees.
8.2 Included Updates
Updates (bug fixes, maintenance releases, etc.) are included, but Upgrades may require additional fees.
Warranties
9.1 Software Warranty
ContraVault warrants that the Software will perform substantially in accordance with the Documentation during the Warranty Period.
Limitation of Liability
10.1 Exclusion of Indirect Damages
ContraVault is not liable for indirect, incidental, or consequential damages, including loss of data or business.
Miscellaneous Terms
17.1 Export Restrictions
The End User may not export or re-export the Software in violation of applicable laws.
17.2 Assignment
The EULA may not be assigned or transferred without prior written consent.
17.9 Governing Law
This EULA is governed by the laws of California, with jurisdiction in California courts.
